Paramount Wins Court Approval for Warner Bros Deal as Ynon Kreiz Named Co-CEO

Los Angeles, October 1, 2026 — Paramount has cleared another major hurdle in its planned acquisition of Warner Bros. Discovery after a U.S. federal judge approved a settlement involving the companies and a group of 12 states that had challenged the transaction on competition grounds.

The court order allows Paramount to move toward completing the massive media transaction, which has been valued at around $110 billion in the transaction announcements and approximately $111 billion when debt is included. The deal would bring together major entertainment and media properties including Paramount Pictures, CBS, CNN, HBO, Warner Bros. Pictures, HBO Max, Paramount+, Nickelodeon and other television and streaming businesses.

Court Approval Clears a Major Legal Hurdle

U.S. District Judge Araceli Martínez-Olguín approved the settlement that had been reached between Paramount and a California-led group of 12 states. The states had previously challenged the acquisition, arguing that the combination could reduce competition in the film and television industries.

Under the settlement, the combined company will have several obligations covering movie production, theatrical releases, cable negotiations and news operations.

One of the most visible requirements is a commitment to release at least 30 films a year in U.S. theaters for five years. The company has also agreed to increase U.S. film production spending by an additional $300 million annually under the terms reported following the court's approval.

The agreement also requires Paramount to negotiate certain basic cable distribution agreements separately for Paramount-owned and Warner-owned channels. The settlement includes additional provisions concerning the future operation of CBS News and CNN.

New Editorial Oversight for CBS News and CNN

Another important part of the settlement involves the creation of an editorial oversight board for CBS News and CNN.

The board is designed to provide an additional layer of oversight for news operations following the combination of the two companies. Court documents provide for a board consisting of active or retired journalists with substantial professional experience.

The issue became an important part of the legal discussions surrounding the transaction because the proposed merger would place CBS and CNN under the same corporate ownership structure.

The court ultimately determined that the settlement met the legal requirements necessary for approval, allowing the transaction to move closer to completion.

Ynon Kreiz to Become Co-CEO

Alongside the court decision, Paramount announced a major leadership change for the combined company.

Ynon Kreiz, the longtime chairman and CEO of Mattel, will join Paramount on October 5, 2026, and is expected to become co-CEO of the combined Paramount and Warner Bros. Discovery business when the acquisition closes.

David Ellison will remain chairman and CEO, while Kreiz will focus heavily on day-to-day operations and integration of the businesses.

The leadership structure gives Ellison responsibility for areas including long-term strategy, creative direction, technology, talent relationships, strategic partnerships and capital allocation. Kreiz is expected to concentrate on operational management and the integration of the two companies.

From Mattel to Hollywood's Largest Media Combination

Kreiz has led Mattel since 2018 and has overseen the company's expansion beyond traditional toys into film, television, digital games, consumer products and other entertainment businesses.

One of the most significant examples of that strategy was the 2023 film Barbie, which became a major global box-office success and was produced by Warner Bros. Pictures.

Before joining Mattel, Kreiz held senior positions across the international media and entertainment industries. His previous experience includes leadership roles at Endemol and Maker Studios, as well as involvement in the development of Fox Kids Europe.

His move to Paramount therefore connects his experience in entertainment brands, media businesses and consumer products with a company preparing to combine two major Hollywood operations.

What the Combined Company Could Control

If the transaction closes as planned, the combined portfolio will include some of the world's most recognizable entertainment brands.

Paramount's assets include Paramount Pictures, CBS, CBS Sports, Paramount+, Pluto TV, Nickelodeon, MTV, Comedy Central and other television and entertainment properties. Warner Bros. Discovery brings Warner Bros. Pictures, Warner Bros. Television, HBO, HBO Max, CNN, Discovery, TNT, TBS, HGTV and Food Network, among other businesses.

The companies have also described the future organization as a global entertainment platform capable of reaching audiences across more than 200 countries and territories.

Deal Expected to Close in October

Paramount's regulatory filings indicate that the transaction is currently being prepared for a potential October 6 closing date. The exact completion remains subject to the remaining transaction procedures and closing conditions.

The companies have already received regulatory clearances in numerous jurisdictions around the world. The U.S. state-level legal challenge had been one of the final significant obstacles to completing the transaction.

The acquisition is expected to create a much larger media organization combining film studios, television networks, streaming platforms, news operations and entertainment franchises under one corporate structure.

What Comes Next

The next phase will focus on completing the transaction and integrating the two businesses. Management will need to combine operations, technology systems, content strategies and distribution businesses while meeting the commitments included in the settlement.

The company will also face the task of managing a large portfolio of established entertainment brands while competing in an industry increasingly shaped by streaming, digital distribution and changing audience habits.

For Hollywood, the completion of the Paramount-Warner Bros. Discovery transaction would represent one of the largest corporate combinations in the modern entertainment industry. The appointment of Ynon Kreiz adds another significant leadership development as the companies prepare for the next stage of the merger.
